LMG Announces Expansion of its SF Office With Hiring of Key Professionals

Legend Merchant Group is pleased to announce the addition of Gordon E. Fallone, James Palmer, Kevin Palmer and Andrew Gallion to its expanding presence in the San Francisco marketplace. The Fallone/Palmer Group provides financial advisory and brokerage services to High Net Worth investors and institutions, provides business advisory and access to capital for early and expansion stage growth companies, primarily in the technology space, and operates the 8701 Funds, a group of venture capital/private equity funds. In a recent success and representative transaction, Fallone/Palmer through the 8701 Funds, provided the initial institutional capital to Visual Sciences, which was acquired by WebSideStory Inc. The transaction closed on February 1, 2006 and represented a return of approximately 12.5 times the fund’s initial investment. The group will be based in Legend’s new office at 201 Mission Street in the SoMa district of SF.

Gordon Fallone

Managing Director – Private Client Group

Mr. Fallone and Mr. Palmer are the Senior Account Executives overseeing the west coast Private Client Group. The group provides comprehensive money management services to High Net Worth individuals and small institutions. He also serves as a Managing Member of the 8701 Fund and the Perion Opportunities Fund, a fund of funds. Prior to joining LMG, Mr. Fallone had nineteen years of experience in the financial services industry. He began his career at Merrill Lynch and went on to Senior Vice President positions at Prudential, Shearson Lehman and Gruntal, after which he joined a private NYSE Investment Bank. As a Senior Managing Director he was one of four Senior Executives that oversaw over $500 million in public and private equity investments. Most recently, he spent five years building the West Coast Private Client Group at Trautman Wasserman. As co-manager of the San Francisco office, he was instrumental in introducing the firm to numerous successful private equity transactions originating in Silicon Valley.

Mr. Fallone received a BS in Finance from the University of Connecticut as an Honors Scholar.

James Palmer

Managing Director- Private Client Group

Mr. Palmer and Mr. Fallone are the Senior Account Executives overseeing the west coast Private Client Group. The group provides comprehensive money management services to High Net Worth individuals and small institutions. Mr. Palmer’s focus is on introducing the firm’s High Net Worth investors to LMG’s Private Equity and Direct Investment opportunities. In addition, he is a Managing Member of the TW 8701 Opportunities Fund I and the TW Opportunities Fund II, both of which are early stage Venture Capital/Private Equity funds, as well as the Perion Opportunities Fund, a domestic fund-of-funds. Mr. Palmer founded these funds while serving as a Managing Director at Trautman Wasserman & Co. (“TW”), a twelve-year-old money management/private equity firm that invests in alternative assets. Mr. Palmer spent five years at TW building their West Coast Private Client Group. As co-manager of the San Francisco office he was responsible for originating and funding early, mid and late stage Private Equity and Venture Capital transactions in several industries through his network of Ultra High Net Worth investors and entrepreneurs. Prior to that he was a Managing Director of a NYSE investment bank where he had more than nine years of experience managing over $400 million dollars for high net-worth individuals and small institutions in both public and private investment vehicles. Mr. Palmer received a BA in Economics from Rollins College. He lives in San Francisco with his wife and three children.

Kevin T. Palmer

Senior Vice President

Mr. Palmer is a Senior Executive in the West Coast Private Client group. Prior to joining LMG, Mr. Palmer was a senior Vice President at Trautman Wasserman, Inc., where he was a Senior Portfolio Strategist for high net worth individuals and small institutions. Mr. Palmer began his career at a NYSE investment bank, and rose to the level of Senior Vice President. Along with one other senior executive, he oversaw over 150 million dollars in public and private equity investments. Mr. Palmer received a BA in Business from Skidmore College.

Andrew S. Gallion

Vice President – Private Client Group

Prior to joining Legend Merchant Group, Mr. Gallion was part of a 15 member team catering to high net-worth individuals and small institutions at Trautman Wasserman. During his five years at Trautman he was also responsible for sourcing several private transactions from inception through final financing.

Mr. Gallion attended Cal State Long Beach in California.

Routing and Execution Disclosure Required under Rule 606

Rule 606 of SEC Regulation NMS requires broker-dealers such as Legend Merchant Group, Inc. to publicly disclose quarterly reports of the firm's order routing practices. The report provides information on the routing of "non-directed orders" which is generally defined as any order that the client has not specifically instructed to be routed to a particular venue for execution.
